By using our Service, you acknowledge and agree to these Terms. Your acceptance of these Terms also includes acceptance of our Privacy Policy and any other policies or guidelines we may provide in connection with the Service.
IdeaValidator is an AI-powered business idea validation platform that provides entrepreneurs and startup founders with data-driven analysis of business ideas. The Service uses artificial intelligence (including third-party AI providers) to evaluate factors such as market viability, competition, and potential success indicators for your proposed business concepts.
The Service is provided online as a software-as-a-service (SaaS) platform on a freemium model, where certain features are available for free and additional features are offered through paid subscription plans.
You must be at least 13 years old or the minimum age required in your country to use the Service, and you must confirm that you meet the minimum age requirement. If you are a teenager between the ages of 13 and 17 years old, you must have your parent or legal guardian's permission to use the Service, and they must agree to our Terms of Service. If you are using the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" will refer to that entity.

When you submit a business idea or any content to the Service for analysis ("User Submissions") and receive output from the Service based on the User Submissions, collectively, Input and Output are "User Content." You are responsible for User Content, including ensuring that it does not violate any applicable law or these Terms.
User submissions are not treated as confidential or proprietary information. Do not submit any information you consider sensitive or confidential.
Our Intellectual Rights: All rights, title, and interest in and to the Service, including the underlying software, algorithms, AI models, design, text, graphics, logos, trademarks, service marks and the compilation and arrangement of data are owned by IdeaValidator LLC. You have only the limited rights expressly granted in these Terms.
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service and any results provided to you for your personal or internal business purposes.
Your Intellectual Rights: You retain ownership of the content you submit to IdeaValidator. Likewise, you own the AI-generated analysis results that the Service provides to you based on your submissions, to the extent such Output is original and protectable by intellectual property law.
You agree and understand that the service provides automated analysis only and is not a substitute for professional business, legal, financial, or investment advice. IdeaValidator's outputs are for informational purposes and general guidance only.
No client-consultant or fiduciary relationship is created by your use of the Service, and you should consult with qualified professionals (business advisors, attorneys, accountants, financial advisors, etc.) before making any business decisions or taking action based on the Service's analysis.
IdeaValidator makes no guarantees or promises regarding the outcome, success, profitability, or viability of any business idea analyzed by the Service. Any predictions, scores, or assessments provided are speculative and based on limited data. Business success depends on many unpredictable factors beyond the scope of our analysis.
IdeaValidator operates on a freemium model. We offer a Free Plan with basic features and usage limits, and one or more Paid Subscription Plans that provide expanded features, higher usage limits, and/or more in-depth analysis.
By signing up for a Paid Plan, you agree to pay the subscription fees and any applicable taxes on a timely basis. Paid subscriptions are billed in advance on a recurring basis (e.g., monthly or annually). All fees are non-refundable except where required by law or explicitly stated otherwise.
You may cancel your paid subscription at any time via your account settings or by contacting our support. Cancellation will take effect at the end of your current billing cycle. No prorated refunds will be given for the remainder of the billing period after cancellation, except where required by law.
IDEAVALIDATOR PROVIDES THE SERVICE "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT ANY WARRANTY OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
YOUR USE OF THE SERVICE, INCLUDING ANY AI-GENERATED CONTENT OR OUTPUTS, IS AT YOUR OWN RISK. EXCEPT TO THE EXTENT PROHIBITED BY LAW, IDEAVALIDATOR AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM IDEAVALIDATOR OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEAVALIDATOR LLC SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER.
This limitation of liability includes, without limitation, any damages arising from business decisions or losses resulting from your reliance on the Service's analysis, lost revenue or profits, data loss, unauthorized access to your account, service downtime, or errors in AI-generated content.
In any event, IdeaValidator's total cumulative liability to you for all claims will not exceed the greater of: (a) the total amount you paid to us for the Service in the twelve (12) months immediately preceding the event; or (b) USD $100.00.
You agree to indemnify, defend, and hold harmless IdeaValidator LLC and its affiliates from and against any third-party claims, demands, suits, or proceedings that arise out of or relate to: (a) your use of the Service; (b) your violation of these Terms or of any law or regulation; or (c) your infringement of any intellectual property or other rights of any third party.
Your use of the Service is also governed by our Privacy Policy, which is hereby incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as outlined in our Privacy Policy.
You are free to stop using IdeaValidator at any time. You may delete your account or discontinue use of the Service.
We reserve the right to suspend or terminate your access to the Service at our sole discretion if we believe that you have violated these Terms or any applicable law, or if you engage in behavior that we deem harmful to the Service, other users, or third parties.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, USA, without regard to its conflict of laws principles.
If parties fail to resolve a dispute through negotiations within thirty (30) days, either party may elect to have the dispute finally and exclusively resolved by binding arbitration. The arbitration will be conducted under the Streamlined Arbitration Rules and Procedures of JAMS.
You and IdeaValidator agree that all disputes will be resolved on an individual basis and not on a class, consolidated, or representative basis. You hereby waive any right to participate in class actions or representative actions.
We respect the intellectual property rights of others. If you believe that any content on the Service infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA).

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision shall not constitute a waiver of future enforcement of that right or provision.
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and IdeaValidator regarding your use of the Service.
IdeaValidator may revise these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice within the Service. By continuing to use the Service after new Terms take effect, you agree to be bound by the revised Terms.
